This Agreement ("Agreement") is made effective as of the date entered by the business owner above, between Star Rewards LLC Online Marketing ("Star Rewards LLC") and the business owner listed in the provided fields above and below.

1. Services Provided by Star Rewards

Star Rewards LLC agrees to provide online marketing services through our website https://www.starrewards.biz for the business listed above.

As part of this service:

The business owner has chosen Option A: with zero setup fee (saving $2,500), and pay only 25% per sale.

Marketing efforts may include, but are not limited to:

• Social media campaigns

• SMS and email marketing

• Online advertising and promotions

In addition, Star Rewards will provide free gifts from its online store, which the business owner can offer as incentives to encourage customer purchase.

30% of each qualifying purchase made by these customers will be credited and converted into Star Points, which customers can redeem for additional products on the Star Rewards website.

This promotional model is designed so that everyone wins:

• Businesses attract more customers and increase sales

• Customers enjoy savings and receive free hot-selling Amazon product gifts through the Star Rewards program

(Star Rewards sources its products through Amazon.)

2. Compensation:

"In consideration for the services provided by Star Rewards LLC, [Business listed above] agrees to pay Star Rewards LLC a commission equal to 25% of the total sale amount for each receipt that Star Rewards LLC collects from the business owner’s customers and submits to [Business listed above]."

"Star Rewards LLC will submit all customer receipts and collect payments from the business listed above on a biweekly basis."

"Payments can be made through Zelle or any other online payment method."

3. Term of Agreement:

"This Agreement shall commence on the Start Date: [today's date] and shall continue until the expiration date chosen by the customer on the form above."

4. Responsibilities of [Business Name: Listed Above]

The business agrees to:

• Provide accurate payout information to Star Rewards LLC upon submission of customer sales receipts, in a timely manner, to ensure customers receive their Star Points rewards accordingly.

• Give a minimum of 30 days' written notice for any cancellation of this agreement. This allows Star Rewards LLC sufficient time to remove the business listing from the platform and prevent customers from attempting to redeem receipts for purchases made after the business is no longer participating.

5. Confidentiality:

"Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of this Agreement."

6. Independent Contractors:

"It is understood that Star Rewards LLC and [Business Name: listed above are independent contractors and nothing in this Agreement shall be construed to create a partnership, joint venture, or employer-employee relationship between the parties".

7. Governing Law:

"This Agreement shall be governed by and construed in accordance with the laws of [Wyoming]."

8. Entire Agreement:

"This Agreement constitutes the entire agreement between Star Rewards LLC and [Business Name: listed above and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter herein."
